To qualify as an authorized international distributor, applicants must meet the following criteria:

• Hold a valid business registration in their country of operation.
• Demonstrate established distribution channels relevant to sports nutrition, outdoor specialty, or endurance athletics.
• Agree to maintain Spring Energy brand standards in all customer-facing communications, packaging descriptions, and retail placements.
• Confirm compliance with all applicable food import regulations, labeling requirements, and customs laws in their territory.

All international wholesale orders are placed through the Spring Energy wholesale portal. Pricing is listed in US dollars and is subject to change without prior notice.

Minimum Order Quantities

Orders may be divided across multiple flavors within a category, provided the per-category minimum is met in total. Mixed-category pallets are permitted when both minimums are satisfied.

Order Confirmation

Distributors submit orders through the wholesale portal. Spring Energy will confirm order readiness by email before pickup is arranged. Do not schedule logistics until written confirmation is received from the sales team.

Pickup Location

All orders are fulfilled from Spring Energy's San Francisco facility. After receiving written order confirmation, distributors are responsible for arranging pickup at:

Shipping Responsibility

The distributor is responsible for all shipping and logistics from the pickup location to the destination country, including selecting and contracting freight carriers, arranging pallet pickup, and managing all in-transit costs and insurance.

Pallet Shipping

Spring Energy strongly recommends shipping all international orders on pallets. Pallet shipping significantly reduces the risk of pouch damage during transit, particularly for gel and meal formats. Spring Energy will pack orders to pallet-ready standards upon request. Distributors accept responsibility for any damage resulting from non-palletized shipments.

The distributor is solely responsible for all customs clearance, import permits, duties, taxes, and regulatory compliance in the destination country. This includes:

• Filing all required import documentation with the relevant customs authority.
• Obtaining any food import permits or health authority approvals required by the destination country.
• Ensuring product labeling meets local language, nutrition disclosure, and ingredient declaration requirements.
• Paying all applicable import duties, VAT, excise taxes, and customs brokerage fees.
• Managing any country-specific restrictions on ingredients, including caffeine thresholds, honey import regulations, and nut allergen declarations.

Spring Energy will provide product specification sheets, ingredient lists, country of origin documentation, and nutrition facts panels upon request to assist with customs filing. Spring Energy is not responsible for import delays, seizures, or associated costs resulting from distributor non-compliance with local regulations.

Payment is due in full at the time of order placement through the wholesale portal unless a separate written payment agreement has been executed with Spring Energy. All payments are processed in US dollars. Spring Energy does not extend credit terms to international distributors without a signed credit agreement.

Authorized distributors agree to represent Spring Energy accurately and in alignment with brand guidelines. Distributors must not:

• Alter, repackage, or relabel Spring Energy products in any way that misrepresents ingredients, calories, or usage instructions.
• Make health claims beyond those stated in Spring Energy's official product descriptions.
• Sell Spring Energy products through unauthorized channels, including third-party online marketplaces, without prior written approval.
• Represent themselves as Spring Energy employees or use Spring Energy branding in marketing materials without prior written approval.

Spring Energy products are made from real whole-food ingredients and formulated to support endurance performance without GI distress. All distributor communications should reflect this positioning accurately.

Spring Energy does not accept returns on international orders once goods have left the fulfillment facility. In the event of manufacturing defects or quality issues, the distributor must notify Spring Energy within 14 days of receiving the shipment and provide photo documentation. Spring Energy will evaluate claims on a case-by-case basis and may offer product credit at its discretion.

Spring Energy is not responsible for damage incurred during international transit. Distributors are strongly encouraged to obtain cargo insurance for all international shipments.

Distribution agreements remain in effect until terminated by either party with 30 days written notice. Spring Energy reserves the right to terminate an agreement immediately if the distributor violates brand standards, misrepresents products, or fails to comply with applicable import laws. Upon termination, the distributor may sell existing inventory but may not place new orders.
